Grab正式向公平交易委員會遞交收購申請

[3月30日，台北訊】 Grab Holdings Limited（NASDAQ：GRAB）宣布，已於2026年3月27日正式向公平交易委員會（TFTC）遞交其擬收購foodpanda台灣業務之申請。在公平交易委員會審查並核准該項收購案的前提下，Grab 的獨立治理機制將有助於在台灣建立一個健康、具競爭力且充滿活力的市場環境。
創辦人主導的企業架構
Grab總部設於新加坡，並於美國納斯達克上市，為一家由創辦人主導的公司。在雙重股權結構下，Grab 集團執行長暨共同創辦人陳炳耀（Anthony Tan）持有多數投票權。因此，公司所有的策略決策均由 Grab 於新加坡的管理團隊獨立制定。 Grab 集團執行長暨共同創辦人陳炳耀表示：「我們相信健康、且具競爭力的市場環境對於創新與提供消費者優質的選擇至關重要。我們在台灣的重點，將放在為消費者提供高品質的服務，並為外送夥伴與商家創造永續的經濟機會。」
全球化的股東結構
Grab的機構投資人結構具全球化，其中超過一半來自美國，其次為日本、英國及新加坡。根據申報文件與公開資料（截至 2026 年 1 月 31 日），Uber持有約13%的普通股，但其投票權低於4%。Uber 的持股來自於 2018 年將其東南亞業務出售給 Grab 所取得。 Uber 不參與 Grab 的日常營運，且Uber提名的Grab董事已迴避所有與台灣相關的董事會決策。
Grab Holdings Limited其他主要股東包括SoftBank（日本／英國），持有9.8%股權及2.6%投票權，以及Toyota Motor Corp（日本），持有5.4%股權及1.4%投票權。目前，Grab Holdings Limited並無已知持股比例超過 5% 的中國機構投資者。
Grab董事會組成
Grab董事會由來自新加坡、南韓、英國及美國的國際商業領袖組成，其中包含五位獨立董事。為確保台灣市場相關決策的獨立性，Uber所提名之董事未參與任何與台灣相關的討論。
董事會成員包括：Anthony Tan（新加坡）、Peter Oey（美國），以及獨立董事Laura Franco（美國）、Daniel Yun（南韓）、Steven Tishman（美國）、John Rogers（英國）與Dara Khosrowshahi（美國）。

COVID-19 has dealt an unprecedented blow to the tourism industry, affecting the livelihoods of millions of workers. One of them was Komsan, an assistant chef in a luxury hotel based in the Srinakarin area.
As the number of tourists at the hotel plunged, he decided to sign up as a GrabFood delivery-partner to earn an alternative income. Soon after, the hotel ceased operations.
Komsan has viewed this change through an optimistic lens, calling it the perfect opportunity for him to embark on a fresh journey after his previous job. Aside from GrabFood deliveries, he now also picks up GrabExpress jobs. It can get tiring, having to shuttle between different locations, but Komsan finds it exciting. And mostly, he’s glad to get his income back on track.
