Dine Out Service: Terms and Conditions

 

1. Dine Out Service (including, Dine Out Discounts and Dine Out Vouchers) are provided to Merchant-Partners (referred to as “you”) pursuant to these Dine Out Service Terms and Conditions (“Dine Out Service T&C”), as they may be amended from time to time. If you continue to use the Dine Out Service and/or do not opt out from Dine Out Service after any such amendment to the Dine Out Service T&C, you will be deemed to have agreed to be bound by such amended Dine Out Service T&C, regardless of whether you have reviewed such amended Dine Out Service T&C.

 

2. These Dine Out Service T&C are subject to (i) your Merchant Agreement or Grab Marketplace Agreement (whichever applicable) which you entered into with Grab upon joining as a Merchant-Partner (“Merchant Agreement”); and (ii) the Terms of Service: Transport, Delivery and Logistics (“ToS”) and other relevant Grab policies and codes of conduct applicable to you.

 

3. Unless the context requires otherwise, all defined terms not defined in these Dine Out Service T&C, carry the same meaning as defined in the Merchant Agreement or ToS.

 

4. Definitions

4.1 “Dine Out Service” refers to the omni-commerce service provided by Grab, designed to connect Merchant-Partners with End Users to enrich the in-person dining experience of End Users at the relevant Stores through Grab Platform.

4.2 “Dine Out Voucher” is part of the Dine Out Service. It involves voucher(s) or meal deal(s) provided by Merchant-Partner for purchase by End User on Grab Platform, which can be redeemed for in-person dining at the relevant Stores.

4.3 “Dine Out Discount” is part of the Dine Out Service. It refers to the discount offered by Merchant-Partner to End User when making payment for in-person dining at the relevant Stores via GrabApp.

4.4 For the avoidance of doubt, the terms “Dine Out” and “Dine-In” may be used interchangeably.

 

5. Dine Out Service Fee

The Dine Out Service Fee shall be charged on the amount obtained after subtracting the Merchant-Partner funded discount from the pre-discounted retail price.

 

6. Dine Out Service Terms

6.1 Dine Out Voucher

(a) Notwithstanding anything to the contrary in the Merchant Agreement, remittance of payment for Dine Out Voucher purchase by End User shall only take place after the End User has redeemed the Dine Out Voucher (not upon sale). A Dine Out Voucher is considered redeemed once an End User redeems the said voucher on GrabApp.

(b) Where Dine Out Voucher is not redeemed for whatever reasons, Grab shall be entitled to retain the full amount that the End User paid for the Dine Out Voucher. In such a case, the Merchant-Partner won’t have any entitlement to receive either the entire amount or any portion thereof.

6.2 Dine Out Discount

(a) The remittance of payment for Dine Out Discount shall be in accordance with the payment method agreed upon in the Merchant Agreement.

6.3 Merchant-Partner agrees and acknowledges that notwithstanding any other provision to the contrary in the Merchant Agreement, Grab shall have an unfettered right to market Dine Out Service, including carrying out promotion or offering them on third-party platforms to generate sales.

6.4 Grab has sole discretion over the operational and procedural aspects of Dine Out Service, including redemption mechanics, redemption terms, validity, user flow etc. Commercial terms in relation to Dine Out Service that are not provided in this Dine Out Service T&C, such as Dine Out Voucher value, Dine Out Discount amount, discount funding contribution between Parties etc. will be agreed upon by the Parties through a separate written or electronic communication such as email, Merchant App, Grab Marketing Manager, GoogleForm or Grab In-App notification.

6.5 Grab shall have no involvement or responsibility for any damages arising in respect of any claim by End Users or by any third party with respect to the redemption of Dine Out Service, and/or any non-compliance with applicable laws in relation to the Dine Out Service.

 

8. Grab will exercise its discretion to determine whether the End User will receive an adjustment, reimbursement, replacement, or any other methods, as determined by Grab and/or to require you to reimburse Grab, if Grab is of the view that you are liable to do so.

 

9. These Dine Out Service T&C shall be deemed incorporated in your Merchant Agreement. All other terms and conditions of the Merchant Agreement shall remain in full force and effect.

 

10. In the event of any conflict or inconsistency between the Merchant Agreement, ToS and these Dine Out Service T&C, the following order of precedence shall apply: (i) these Dine Out Service T&C; (ii) the Merchant Agreement; and (iii) ToS.

1. Campaign period is from 15 January 2022 (12:00am) – 28 February 2022 (11.59pm).
2. GrabPay users are eligible for a “RM8 rebate” in your “My Rewards” when you spend a minimum of RM88 on a single receipt via GrabPay Wallet.
3. The offer of “RM8 rebate” is limited to a total of 62,500 redemptions throughout the campaign period.
4. Offer is valid for TWO (2) in-store redemptions with a cap of ONE(1) redemption per user per day throughout the campaign. Shared across AEON Co, AEON BiG, AEON MaxValu Prime, and AEON Wellness throughout the campaign period. 
5. The “RM8 rebate” will be awarded instantly with a minimum transaction of RM88 with GrabPay at all outlets of AEON Co, AEON BiG, AEON MaxValu Prime, AEON Wellness; The rebate can be found under “My Rewards”. Rebate must be redeemed by clicking “use now” under “My Rewards” 30 days from the date of issuance.
6. The campaign will cease once all redemptions have been fully awarded or at the expiration of the campaign period, whichever is earlier.
7. Offer is based on a first come first served and while stocks last basis only.
8. Grab and AEON Group shall not be under any obligation to inform users, on any communication channels once the offer has been fully redeemed.
9. Offer is only available for AEON Co, AEON BiG, AEON MaxValu Prime, and AEON Wellness physical stores purchases at cashier counter only via GrabPay Wallet; offer is not applicable for online or GrabMart purchases.
10. Offer is not exchangeable for cash or replacements.
11. Offer is not valid with any other voucher, discount or promotion.
12. Grab and AEON Group reserve the right to alter, extend or terminate the promotion, or amend the terms and conditions at its sole discretion at any time without prior notice. In case of any disputes directly or indirectly arising from the promotion, the decision of Grab and AEON Group shall be final.
13. These terms and conditions shall be governed by the laws of Malaysia and any dispute arising out of or in connection with promotion shall be referred to the exclusive jurisdiction of courts of Malaysia.
14. This rebate is non-transferable to any party.
