Dine Out Discount Service Terms and Conditions<\/b><\/p>

Latest update on 1 August 2025<\/span><\/p>

These Dine Out Discount Service Terms and Conditions (\u201c<\/span>Dine Out Discount Service T&Cs<\/b>\u201d) consist of 3 parts:<\/span><\/p>

  1. Dine Out Discount Service Agreement offered by Grabtaxi (Thailand) Co., Ltd. (\u201c<\/span>Grabtaxi<\/b>\u201d);\u00a0\u00a0<\/span><\/li>
  2. GrabPay Payment Service Agreement offered by GPay Network (T) Limited (\u201c<\/span>GPay<\/b>\u201d); and<\/span><\/li>
  3. PayLater by Grab Merchant Agreement offered by GTech (T) Co., Ltd. (\u201cGTech<\/b>\u201d).\u00a0<\/span><\/li><\/ol>

    (Grabtaxi, GPay and GTech are collectively referred to as \u201c<\/span>Grab<\/b>\u201d).\u00a0<\/span><\/p>

    By using the Dine out discount service (\u201c<\/span>Dine Out Discount Service<\/b>\u201d), you agree that you have read, understood, agreed and accepted all terms and conditions of these Dine Out Discount Service T&Cs, as may be amended from time to time at Grab\u2019s sole discretion. You are obliged, at its sole responsibility, to monitor and review the amendment of the Dine Out Discount Service T&Cs throughout your use of the Dine Out Discount Service. <\/span>Your continued use of the Dine Out Discount Service after any such amendments, whether or not reviewed by you, shall constitute your agreement and acceptance to be bound by such amendments.\u00a0<\/span><\/p>

    These Dine Out Discount Service T&Cs constitute the entire agreement between the parties in relation to the Dine Out Discount Service and supersede all previous agreements, addenda, correspondences, negotiations, representations, and expressions of any intention in connection with the subject matter hereof, whether in writing or orally, between parties.<\/span><\/b><\/p>

    I. Dine Out Discount Service Agreement<\/b><\/p>

    The terms and conditions set forth in this dine out discount service agreement constitute a legal agreement between you and Grabtaxi (Thailand) Co., Ltd. (\u201c<\/span>Dine Out Discount Service Agreement<\/b>\u201d). The Dine Out Discount Service is a service where you are able to offer dine out discounts on the Grab Application, and\u00a0 a customer dine out at your restaurant (\u201c<\/span>Customer<\/b>\u201d) can get a discount from the total bill by making a payment through the Grab Application, subject to the terms and conditions set forth herein.<\/span><\/p>

    General<\/b><\/span><\/p>

    1. This Dine Out Discount Service Agreement is subject and in relation to (i) your existing GrabFood merchant contract (<\/span>\u201cMerchant Contract<\/b>\u201d), (ii) the <\/span>Terms of Service: Transport, Delivery and Logistics<\/span><\/a> (\u201c<\/span>ToS<\/b>\u201d) and other relevant Grabtaxi\u2019s policies and codes of conduct applicable to you (\u201c<\/span>Grabtaxi\u2019s Policies<\/b>\u201d).\u00a0<\/span><\/p>

    2. In particular, any capitalized terms used but not defined herein shall bear the same meaning as those defined in the Merchant Contract (unless the context otherwise requires).<\/span><\/p>

    3. This Dine Out Discount Service Agreement is an integral part of the Merchant Contract. In the event of any conflict or inconsistency between the terms of this Dine Out Discount Service Agreement, Merchant Contract, ToS or Grabtaxi\u2019s Policies, the conflict or inconsistency shall be resolved in accordance with the following descending order of precedence (from high priority to low priority):\u00a0<\/span><\/p>

    (a)<\/span> Dine Out Discount Service Agreement;<\/span><\/p>

    (b)<\/span> Merchant Contract;<\/span><\/p>

    (c)<\/span> ToS; and<\/span><\/p>

    (d)<\/span> Grabtaxi\u2019s Policies<\/span><\/p>

    Merchant\u2019s Obligations<\/b><\/span><\/p>

    4. By using the Dine Out Discount Service, you agree as follows:\u00a0<\/span><\/p>

    4.1<\/span> You shall provide all correct and complete information as requested by Grabtaxi to provide the Dine Out Discount Service to you.<\/span><\/p>

    4.2<\/span> You shall be solely responsible for (i) determining the amount of discount offered to the Customer as per details in any relevant dine out discount offered by you on the Grab Application and (ii) any claim by the Customer or any third party (including government agencies) with respect to the dine out discount offered on the Grab Application. Grabtaxi shall have no involvement or responsibility for any damages arising therefrom and\/or any non-compliance with applicable laws in relation to the terms and conditions of dine out discount offered to the Customer on the Grab Application.<\/span><\/p>

    4.3<\/span> You shall offer the dine out discount only in the form of a percentage of the total bill (e.g., 10% or 15%) without the maximum discount amount condition.<\/span><\/p>

    4.4<\/span> You shall not require the Customer to spend a minimum order value to avail the dine out discount.<\/span><\/p>

    4.5<\/span> You shall allow the Customer to use the dine out discount during operating hours without any date or time conditions.<\/span><\/p>

    Service Fee and Remittance<\/b><\/span><\/p>

    5. Grabtaxi will charge the Dine Out Discount Service fee on the transaction value after the dine out discount funded by you (excluding the discount funded by Grabtaxi, if any.) The Dine Out Discount Service fee is subject to VAT which you are responsible to pay at the rate specified by the law.<\/span><\/p>

    Example of Dine Out Discount Service fee calculation:<\/b><\/p>

    Transaction value = A baht<\/span><\/p>

    Total dine out discount offered = X+Y%<\/span><\/p>
