1.\u00a0 Dine Out Discounts and Dine Out Vouchers services(collectively \u201c<\/span>Dine Out Deals<\/b>\u201d), are provided to you pursuant to these Dine Out Deals Terms and Conditions (\u201c<\/span>Terms and Conditions<\/b>\u201d), as they may be amended from time to time. If you continue to use the Dine Out Deals services and\/or do not opt out from Dine Out Deals after any such amendment to the Terms and Conditions, you will be deemed to have agreed to be bound by such amended Terms and Conditions, regardless of whether you have reviewed such amended Terms and Conditions.<\/span><\/p>

2. These Terms and Conditions are subject to (i) your Merchant Agreement or Grab Marketplace Agreement (whichever applicable) which you entered into with Grab upon joining as a Merchant-Partner (\u201c<\/span>Merchant Agreement<\/b>\u201d); and (ii) the<\/span> Terms of Service: Transport, Delivery and Logistics (\u201c<\/span>ToS<\/b>\u201d)<\/span><\/a> and other relevant Grab policies and codes of conduct applicable to you.<\/span><\/p>

3. Unless the context requires otherwise,<\/span> all defined terms not defined in these <\/span>Terms and Conditions<\/span>, carry the same meaning as defined in the Merchant Agreement or ToS.<\/span><\/p>

4. Definitions<\/b>:<\/span><\/p>

In these Terms and Conditions, the following words shall have the meanings ascribed below:<\/span><\/p>

(a) \u201c<\/span>Dine Out Discount<\/b>\u201d refers to the discount provided on the retail price of the Merchant\u2019s Goods for dine-in at Merchant\u2019s Store(s) and redeemed by the End User when making payment via the Grab Platform at the relevant Store.<\/span><\/p>

(b) Dine<\/strong> Out Vouchers<\/b>\u201d refers to the voucher(s) (electronic or otherwise) purchased by the End User via the Grab Platform, which voucher(s) may subsequently be redeemed for dine-in at Merchant\u2019s Store(s) and\/or takeaway (where dine-in does not apply) by the End User at one (1) or more Stores (subject to certain stipulated terms and conditions). Dine Out Vouchers are a form of Good(s) and any reference to Good(s) in the Merchant Agreement shall be deemed to include Dine Out Vouchers.<\/span><\/p>

(c) \u201c<\/span>Service Fee<\/b>\u201d means the service fee (the amount(s) or rate(s) of to be paid or payable to Grab by you, in consideration for the Dine Out Deals Services.<\/span><\/p>

5. You shall be responsible to stipulate and provide the relevant terms and conditions applicable to such Dine Out Deals (such as but not limited to voucher validity period and conditions for redemption). Such terms and conditions shall be subject to prior vetting and written approval by Grab (not to be unreasonably withheld).<\/span><\/p>

6. In respect of orders to which a Dine Out Discount has been applied, the Service Fee shall be charged on the resulting lower retail price (including GST) of the Goods after applying such Dine Out Discount.<\/span><\/p>

7. You agree and acknowledge that notwithstanding any other provision to the contrary in the Merchant Agreement: (a) remittance of the Goods Revenue under the Merchant Agreement shall only take place after the Dine Out Voucher(s) has been fully redeemed; and (b) where the Dine Out Voucher(s) is not fully redeemed on or before its stipulated expiry date or it otherwise lapses, terminates or is cancelled or voided for any reason, Grab shall be entitled to retain the full purchase price paid by the End User and you shall not be entitled to receive the whole or any part of the same.<\/span><\/p>

8. Grab will exercise its discretion to determine whether the End User will receive an adjustment, reimbursement, replacement, or any other methods, as determined by Grab and\/or to require you to reimburse Grab, if Grab is of the view that you are liable to do so.\u00a0<\/span><\/p>

9. These Terms and Conditions shall be deemed incorporated in your Merchant Agreement. All other terms and conditions of the Merchant Agreement<\/span> shall remain in full force and effect.\u00a0<\/span><\/p>

10. In the event of any conflict or inconsistency between the Merchant Agreement, ToS and these Terms and Conditions, the following order of precedence shall apply: (i) these Terms and Conditions; (ii) the Merchant Agreement; and (iii) ToS.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<\/div>\n\t\t","protected":false},"parent":0,"menu_order":0,"template":"","acf":[],"_links":{"self":[{"href":"https:\/\/www.grab.com\/sg\/wp-json\/wp\/v2\/policy\/220288"}],"collection":[{"href":"https:\/\/www.grab.com\/sg\/wp-json\/wp\/v2\/policy"}],"about":[{"href":"https:\/\/www.grab.com\/sg\/wp-json\/wp\/v2\/types\/policy"}],"version-history":[{"count":23,"href":"https:\/\/www.grab.com\/sg\/wp-json\/wp\/v2\/policy\/220288\/revisions"}],"predecessor-version":[{"id":258447,"href":"https:\/\/www.grab.com\/sg\/wp-json\/wp\/v2\/policy\/220288\/revisions\/258447"}],"wp:attachment":[{"href":"https:\/\/www.grab.com\/sg\/wp-json\/wp\/v2\/media?parent=220288"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
