INTRODUCTION\u00a0<\/b><\/p>

1.1 <\/b>It is recorded that:<\/span><\/p>

1.2 <\/b>GRAB and MERCHANT wish to vary and amend the terms of the Grab Marketplace Agreement entered into by the Parties in accordance with the provisions of this addendum (“<\/span>Addendum<\/b>“).<\/span><\/p>

1.3<\/b> All defined terms contained herein, unless otherwise stated, will have the same meaning as those in the Agreement.\u00a0<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

AMENDMENT<\/b><\/p>

1.4\u00a0<\/b><\/span>This Addendum amends the Agreement to include the following:<\/span><\/p>

DEFINITIONS AND INTERPRETATION<\/span><\/p>

\u00a0<\/p>

1.1 Definitions<\/span><\/p>

\u201c<\/span>Dine out Deals<\/b>\u201d refers to <\/span>Dine out Vouchers<\/b> or <\/span>Dine out Discounts<\/b> offered under the GrabFood Dine out feature in the Grab app that allows the MERCHANT to offer discounts to users. See below for definitions of <\/span>Dine out Vouchers<\/b> or <\/span>Dine out Discounts.<\/b><\/p>

\u201c<\/span>Dine out Discount<\/b>\u201d refers to instant deals offered under the GrabFood Dine out feature in the Grab app that allows the MERCHANT to offer discounts to users\u2019 total bill, granted that the user pays for their food and\/or beverages through the Dine out feature on the Grap app. MERCHANT is also entitled to marketing mileages for the duration that the MERCHANT sells the deals on the Grab app. Mileages are set by Grab and can be adjusted with Grab\u2019s discretion.<\/span><\/p>

\u201c<\/span>Dine out Voucher<\/b>\u201d means a voucher offered under the GrabFood Dine out feature in the Grab app that allows the MERCHANT to offer vouchers at a discounted rate. Users are able to purchase said vouchers and redeem when the customers dine in at the Merchant\u2019s participating outlets. MERCHANT is entitled to marketing mileages for the duration that the MERCHANT sells the deals on the Grab app. Mileages are set by Grab and can be adjusted with Grab\u2019s discretion. <\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

Terms and Conditions\u00a0<\/b><\/p>

  • Dine out vouchers can be redeemed by merchants all day, every day except public holidays, as long as it is within the validity period indicated in the voucher.<\/span><\/li>
  • Dine out discounts can be used in stores all day, every day except public holidays.<\/span><\/li>
  • This is also provided that MERCHANT agrees to apply its Dine out menu prices for these Dine out transactions.<\/span><\/li>
  • Grab will be charging a certain service fee for both Dine Out Discounts and Dine Out Vouchers.<\/span><\/li><\/ul>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

    Details of Dine out Deals to be offered by MERCHANT<\/b><\/p>

    • Details of the Dine out Discounts and\/or Dine out Vouchers to be offered by MERCHANT shall be submitted via a separate form per participation<\/span><\/li>
    • This addendum shall only cover the the overall agreement on the service fee for the Dine out Discounts and Dine out Vouchers<\/span><\/li><\/ul>

      \u00a0<\/p>

      Payout<\/b><\/p>

      • Payout to MERCHANT for transactions under the Dine out Deals feature shall follow the Grab payout process and schedule of other Grab transactions. Details of these Dine out Deals transactions can also be found in the Grab Merchant portal and Daily Business Report (DBR).<\/span><\/li><\/ul>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

        GENERAL<\/b><\/p>

        \u00a0<\/p>

        1.5<\/b> Save to the extent specifically modified in this Addendum, or unless otherwise agreed in writing between the Parties, all the terms and conditions of the Agreement shall remain in full force and effect.<\/p>
