Introduction<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">The Grab Supplier Code of Conduct (the \u201cCode\u201d) shall be applicable to all suppliers of the Grab Group and all of its direct or indirect subsidiaries and affiliated companies (collectively known as \u201cGrab\u201d), unless a specific subsidiary or affiliate has adopted its own equivalent version of the Code.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">This Code takes into account Grab\u2019s internal guidelines and policies and sets out\u00a0 the acceptable behavior of its suppliers in providing goods and services. Grab is committed to doing business in a legal, fair and ethical manner and expects all its business partners to be similarly committed.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">This Code shall apply to all suppliers as well as any entity which provides such goods\/ services indirectly to Grab through such suppliers.\u00a0<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">This Code shall be made available to our suppliers and is a condition to a contract entered into between Grab and the supplier (the \u201cContract\u201d). Laws and Regulations\u00a0<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">All suppliers are expected to comply with all applicable laws and regulations of the countries where they operate in and where goods and services are provided. Such laws shall include without limitation employment\/ labor and environmental, health and safety laws, taxation, company law, personal data protection, etc.\u00a0<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">Where there are any discrepancies between the requirements of this Code and prevailing laws\/regulations, the stricter one shall apply.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #00b140; background-color: transparent; font-weight: bold; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">3. Suppliers shall not offer or accept bribes or other unlawful\/improper benefits\/ advantages from their business partners. Suppliers shall not offer any form of benefits or gratification to Grab employees to obtain an unfair business advantage.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #00b140; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">3.2 No Gift Policy<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">Suppliers are encouraged not to give any Gift, Entertainment, or Meals to Grab and\/or its employees.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">Should any Grab employees try to solicit any Gift, Entertainment, or Meals, Suppliers can report it to Grab through reporting of concerns channel described in section 3.6 below.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #00b140; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">3.3 Conflict of Interest<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">Suppliers shall disclose, at the first instance, if there is a potential conflict of interest relating to its potential and\/or existing contractual relationship with Grab. Suppliers shall also disclose, at any time during an ongoing contractual relationship with Grab, any actual or potential conflict of interest.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #00b140; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">3.4 Fair Competition<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">Suppliers shall adopt fair practices and ensure its business practices are in line with all applicable antitrust or competition laws.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #00b140; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">3.5 Privacy &amp; Intellectual Property<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">Suppliers shall comply with all relevant data privacy laws and regulations with regards to the collection, disclosure, retention and\/or processing of the personal data of Grab consumers and employees.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">Suppliers are reminded not to infringe any intellectual rights, copyrights, patents and trademarks. Where any intellectual property rights are developed as part of the contractual arrangement with Grab, the ownership of such intellectual property rights shall be as defined in the signed contract.<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #00b140; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">3.6 Reporting of Concerns<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; They shall ensure compliance with all relevant environmental laws, particularly those relating to greenhouse gas emissions, energy use, water discharges, hazardous substances and waste management. Management Systems<\/span><\/p><p dir=\"ltr\" style=\"line-height: 1.38; background-color: #ffffff; margin-top: 0pt; margin-bottom: 0pt; padding: 0pt 0pt 17pt 0pt;\"><span style=\"font-size: 12pt; font-family: Inter,sans-serif; color: #333333; background-color: transparent; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap;\">Suppliers are expected to implement management systems to facilitate compliance with all applicable laws and to promote continuous improvement with respect to the expectations set forth in this Code. Such management systems should include processes to identify and manage environmental, societal and governance (\u201cESG\u201d) risks and opportunities relevant to the goods and services supplied to Grab, in a manner that is proportionate to supplier\u2019s size, risk profile and impact.
