Introduction<\/span><\/strong><\/h3>

1.<\/span> These Grab Supplies Terms govern the access and use of Grab Platform for the business-to-business (“<\/span>B2B<\/b>“) sale and supply of Goods between Merchant Supplier (as defined hereunder) and Merchant Buyer (as defined hereunder), to facilitate the direct sourcing of Goods at affordable prices with convenience (\u201c<\/span>Grab Supplies<\/b>\u201d). It is important for you to read and understand all these Grab Supplies Terms carefully and thoroughly because these Grab Supplies Terms stipulate your responsibilities, obligations, and rights.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

2. These Grab Supplies Terms are incorporated with and to be read together with the <\/span>Marketplace Terms<\/span><\/a> and <\/span>Terms of Service<\/span><\/a>. By accessing and using Grab Supplies on our Grab Platform, you are deemed to have read, agreed and understood the terms and conditions of these Grab Supplies Terms, which are applicable to you. If you do not agree to the terms and conditions of these Grab Supplies Terms, please do not use or continue using our Grab Supplies. <\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

3. All defined terms not defined in these Grab Supplies Terms carry the same meaning as defined in the Marketplace Terms and Terms of Service, save that the terms are explicitly defined herein.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

4. Grab may amend and\/or supplement these Grab Supplies Terms at any time at our sole discretion. Such amendment and\/or supplementation shall become effective within seven (7) days from our notice to you, or once they are posted on our website, the Application, or any other online site which you are able to access. It is your responsibility to review these Grab Supplies Terms regularly. Your continuation of using the Platform and Grab Supplies after any such amendment and\/or supplementation, whether or not reviewed by you, shall constitute your agreement to be bound by such amendment and\/or supplementation.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

5. For the purposes of these Grab Supplies Terms, the following capitalized words shall have the following meanings:\u00a0<\/span><\/p>

\u201c<\/span>Merchant Buyer<\/b>\u201d means any Merchant who accesses and uses Grab Supplies to view and acquire Goods via Grab Platform.<\/span><\/p>

\u201c<\/span>Merchant Supplier<\/b>\u201d means any Merchant who accesses and uses Grab Supplies to sell and supply Goods (which include delivery and logistics) to Merchant Buyer via Grab Platform.<\/span><\/p>

\u201c<\/span>Sale Price<\/b>\u201d of Goods means the total price of Goods as published on Grab Platform, which shall be inclusive of all applicable delivery and logistics charges and taxes, but exclusive of any coupons or other discounts where applicable.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

For Merchant Supplier<\/span><\/strong><\/p>

6.<\/span> By accessing and using Grab Supplies hereof through entering into the Grab Supplies Marketplace Service Agreement (the \u201c<\/span>Agreement<\/b>\u201d) with Grab, you agree that you have fully and clearly read and understood all terms and conditions of these Grab Supplies Terms, which are an integral part of the Agreement and all together shall constitute a legally binding and enforceable agreement between you and Grab. For the avoidance of doubt, upon entering into the Agreement, you have expressly agreed to and be bound by all terms and conditions of these Grab Supplies Terms.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

7. You hereby represent and warrant that:\u00a0<\/span><\/p>

7.1. you have the legal and commercial capacity and power to enter into and perform and comply with the obligations under these Grab Supplies Terms, the Agreement, and the applicable laws;\u00a0<\/span><\/p>

7.2. you have full rights, authority, license, and permit to operate, sell and supply Goods to Merchant Buyer in accordance with applicable laws and regulations, as well as the industrial standard, including but not limited to (i) wholesale permission and license; (ii) fulfillment, delivery, and logistics of Goods to Merchant Buyer; and (iii) handling general customer service and complaints, etc.\u00a0\u00a0<\/span><\/p>

7.3. you have operational and commercial capacity to manage and handle customer service, including any complaint, return, and refund initiated by Merchant Buyer during access and use of Grab Supplies; and\u00a0<\/span><\/p>

7.4. Grab is a technology company which does not provide any form of Goods, delivery and logistics services. Grab is merely a Platform facilitator to make available and facilitate Grab Supplies. <\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

8. You agree to comply with all applicable laws and regulations regarding (non-exhaustive) product and goods safety and product liability, product storing and packaging, and delivery and logistics standards where required. <\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

9. You agree and acknowledge to comply with the strict service level agreements (\u201c<\/span>SLAs<\/b>\u201d) as outlined in the Agreement regarding the delivery time. You further agree and acknowledge that any failure to meet the agreed SLAs shall constitute a breach of these Grab Supplies Terms, which entitles Grab to suspend or terminate your access and use of Grab Supplies at any time at Grab\u2019s sole discretion.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

10. You agree to indemnify, defend, and hold harmless Grab, its affiliates, directors, officers, employees, and agents (the “<\/span>Indemnified Parties<\/b>“) from and against any and all claims (including third-party claim), liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your sale, supply, fulfillment, delivery, logistics, quality, or use of the Goods; (b) any breach of the representations and warranties herein; (c) any negligence or wilful misconduct by you and your personnel or your agent; and (d) any regulatory or legal violation concerning the fulfillment your sale and supply of Goods. You further agree to assume the duty to defend and shall take over the defense of any third-party claim against the Indemnified Parties relating to your sale, supply, fulfillment, delivery, logistics, quality, or use of Goods, immediately upon written notice from Grab.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

11. You agree and acknowledge to, upon reasonable notice from Grab, grant Grab, or its authorized representatives, the right to inspect and audit any of your records, inventory, and facilities, including but not limited to your store, outlet, or warehouse, on Goods, delivery, and logistics. Such inspection or audit shall be conducted during normal business hours and without disruption to your operations.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

12. You agree and acknowledge that you shall be responsible for customer service at your own cost, expense, and effort. You shall be primarily responsible for responding to and resolving all inquiries, complaints, and issues raised by Merchant Buyer regarding Goods (including quality, quantity, description, or delivery or logistics matters).<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

13. You warrant and represent that you shall not use our Platform and Grab Supplies for any illegitimate or illegal purpose (including the transportation or logistics of prohibited or illegal items, including drugs, or doing any action contrary to public order and good morals).<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

For Merchant Buyer<\/span>\u00a0<\/strong><\/p>

14.<\/span> By accessing and using Grab Supplies for reviewing and acquiring Goods, you explicitly and unequivocally warrant, represent, and covenant that you are acquiring the Goods on Grab Supplies solely for commercial or business purposes and not for personal, family, or household consumption. <\/span>Grab Supplies is for business-to-business (\u201c<\/span>B2B<\/b>\u201d), as we want to empower you to acquire direct sources of Goods at an affordable price with convenience. <\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

15. You represent and warrant that:<\/span><\/p>

15.1. it acts solely in a business capacity, and that the transaction is commercial in nature; and<\/span><\/p>

15.2. this B2B transaction is typically not subject to the rights, entitlements, or remedies stipulated under the law on consumer protection.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

16. You agree and acknowledge that Goods listed on the Grab Supplies are provided on an \u201cas is\u201d and \u201cas available\u201d basis. We make no representations, warranties, or guarantees, express or implied, regarding the accuracy, reliability, quality, merchantability, fitness for a particular purpose, or non-infringement of Goods. You shall rely on the descriptions and warranties provided solely by Merchant Supplier.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

17.
