1. Grab dan Penjual secara bersama-sama disebut sebagai \u201c<\/span>Para Pihak<\/span>\u201d dan secara sendiri-sendiri disebut sebagai \u201c<\/span>Pihak<\/span>\u201d. \/ <\/span>Grab and the Merchant collectively referred to as the \u201c<\/span>Parties<\/span>\u201d and individually referred to as a \u201c<\/span>Party\u201d<\/span>. <\/span><\/p>\n

2. Layanan Diskon Dine Out dan Voucher Dine Out (secara kolektif disebut \u201c<\/span>Program Dine Out<\/span>\u201d), diberikan kepada Anda sesuai dengan Syarat dan Ketentuan Program Dine Out (\u201c<\/span>Syarat dan Ketentuan<\/span>\u201d), sebagaimana dapat diubah dari waktu ke waktu. Jika Anda terus menggunakan Program Dine Out dan\/atau tidak memilih keluar dari Program Dine Out setelah adanya perubahan terhadap Syarat dan Ketentuan, Anda akan dianggap setuju untuk terikat dengan Syarat dan Ketentuan yang diubah tersebut, terlepas dari apakah Anda telah meninjau Syarat dan Ketentuan yang diubah tersebut. \/ <\/span>Dine Out Discounts and Dine Out Vouchers services (collectively \u201c<\/span>Dine Out Programs<\/span>\u201d), are provided to you pursuant to these Dine Out Programs Terms and Conditions (\u201c<\/span>Terms and Conditions<\/span>\u201d), as they may be amended from time to time. If you continue to use the Dine Out Programs and\/or do not opt out from Dine Out Programs after any such amendment to the Terms and Conditions, you will be deemed to have agreed to be bound by such amended Terms and Conditions, regardless of whether you have reviewed such amended Terms and Conditions.<\/span><\/p>\n

3. Penjual dan Grab sebelumnya: (i) telah menandatangani Syarat dan Ketentuan Komersial bagi Rekanan GrabFood Terpilih serta seluruh perubahan terhadapnya, jika ada (\u201c<\/span>Ketentuan Komersial<\/span>\u201d) yang merupakan satu kesatuan dengan Syarat dan Ketentuan ini. Terkait dengan pelaksanaan Program Dine Out, Penjual dan Grab akan melakukan kesepakatan melalui email resmi mengenai jangka waktu program, mekanisme, kontribusi pendanaan potongan harga, dan hal-hal komersial lainnya (\u201c<\/span>Konfirmasi Email<\/span>\u201c). Konfirmasi Email ini merupakan bagian yang tidak terpisahkan dari Syarat dan Ketentuan ini.  <\/span>\/ The Merchant and Grab have previously signed the Commercial Terms and Conditions for Selected GrabFood Partners as well as all subsequent amendments thereto, if any (\u201c<\/span>Commercial Terms<\/span>\u201d), which are integral parts of these Terms and Conditions. In relation to the implementation of the Dine Out Program, Merchant and Grab will agree through official email regarding the program period, mechanism, discount funding contribution, and other commercial matters (\u201c<\/span>Email Confirmation<\/span>\u201c). This Email Confirmation is an integral part of these Terms and Conditions.<\/span><\/p>\n

4. Definisi \/ <\/span>Definitions<\/span>: <\/span><\/p>\n

a. \u201cProgram Dine Out\u201d <\/span>adalah jenis program promo Dine Out yang Grab tawarkan kepada Anda yang mencakup dua fitur di bawah ini: \/ \u201c<\/span>Dine Out Program<\/span>\u201d means the Dine Out promo program that Grab offers to You which includes the two features below:<\/span><\/p>\n

-Diskon Dine Out <\/span>adalah potongan harga yang diberikan pada harga eceran barang-barang Penjual untuk digunakan pada saat Pengguna Akhir menggunakan fitur Dine Out pada restoran Penjual dan ditukarkan oleh Pengguna Akhir ketika melakukan pembayaran melalui Aplikasi Grab di restoran terkait.<\/span> Penjual mengakui bahwa selama jangka waktu Diskon Dine Out yang disetujui dalam Konfirmasi Email, Penjual wajib untuk menerima permohonan dari seluruh Pengguna Akhir untuk potongan harga sesuai dengan kontribusi pendanaan yang telah disepakati melalui Konfirmasi Email.  <\/span>\/ <\/span>Dine Out Discount <\/span>refers to the discount provided on the retail price of the Merchant\u2019s goods to be used when the End User uses the Dine Out feature at the Merchant\u2019s restaurant and is exchanged by the End User when making payments via the Grab Application at the relevant restaurant. The Merchant acknowledges that during the Dine Out Discount period agreed to in the Email Confirmation, the Merchant is obliged to accept requests from all End Users for discounts in accordance with the agreed funding contribution as agreed through the Email Confirmation.<\/span><\/p>\n

\u2013<\/span>Voucher Dine Out <\/span>adalah voucher yang dibeli oleh Pengguna Akhir melalui Aplikasi Grab, yang selanjutnya voucher dapat ditukarkan untuk pada saat menggunakan fitur Dine Out pada restoran Penjual oleh Pengguna Akhir pada satu (1) atau lebih restoran (sesuai dengan syarat dan ketentuan tertentu yang ditetapkan). Penjual mengakui bahwa periode penjualan dan penukaran Voucher Dine Out yang disetujui dalam Konfirmasi Email, Penjual wajib untuk menerima permohonan dari seluruh Pengguna Akhir untuk menggunakan Voucher Dine Out tersebut sesuai dengan kontribusi pendanaan yang telah disepakati melalui Konfirmasi Email. \/ <\/span>Dine Out Vouchers <\/span>refers to the voucher(s) purchased by the End User via the Grab Application, which voucher(s) may subsequently be redeemed for Dine Out at Merchant\u2019s restaurants by the End User at one (1) or more restaurants (subject to certain stipulated terms and conditions). The Merchant acknowledges that during the sales and redemption period of the Dine Out Vouchers agreed in the Email Confirmation, the Merchant is obliged to accept requests from all End Users to use the Dine Out Voucher in accordance with the funding contribution agreed through the Email Confirmation.<\/span><\/p>\n

b. \u201c<\/span>Biaya Jasa Dine Out<\/span>\u201d atau \u201c<\/span>Komisi Dine Out<\/span>\u201d adalah biaya jasa yang Anda wajib bayarkan kepada Grab berdasarkan Program Dine Out yang Anda ikuti sebagaimana disebutkan di atas yang terbagi dalam dua jenis sebagai berikut: \/ \u201c<\/span>Dine Out Service Fee<\/span>\u201d or <\/span>\u201c<\/span>Dine Out Commission<\/span>\u201d means the service fee payable by You to Grab based on your participation to the Dine Out Program as mentioned above which is divided into two types as per below: <\/span>  <\/span><\/p>\n

–  \u201c<\/span>Biaya Jasa Diskon Dine Out<\/span>\u201d atau \u201c<\/span>Komisi Diskon Dine Out<\/span>\u201d adalah biaya jasa  yang wajib Anda bayarkan kepada Grab yang ditagihkan berdasarkan harga eceran akhir pada masing-masing pesanan setelah dikurangi dengan kontribusi promosi Anda. \/<\/span> \u201c<\/span>Dine Out Service Fee<\/span>\u201d or <\/span>\u201c<\/span>Dine Out Discount Commission<\/span>\u201d means the service fee to be paid or payable to Grab by you charged on the final retail price of each order after being deducted with your promotion contribution. <\/span><\/p>\n

– \u201c<\/span>Biaya Jasa Voucher<\/span>\u201d atau \u201c<\/span>Komisi Voucher<\/span>\u201d adalah biaya jasa  yang wajib Anda bayarkan kepada Grab yang ditagihkan berdasarkan nilai Voucher Dine Out yang digunakan oleh Pengguna Akhir untuk membeli makanan dan\/atau minuman Anda, setelah dikurangi dengan kontribusi promosi Anda. \/  \u201c<\/span>Voucher Service Fee<\/span>\u201d or <\/span>\u201c<\/span>Voucher Commission<\/span>\u201d means the service fee to be paid or payable to Grab by you charged of the value of the Voucher used by the End User to buy your food and\/or drinks, after deducting the promotional contributions from you.<\/span><\/p>\n

– \u201c<\/span>Biaya Jasa MDR<\/span>\u201d atau \u201c<\/span>Komisi MDR<\/span>\u201d adalah biaya jasa  yang wajib Anda bayarkan kepada Grab yang ditagihkan berdasarkan metode pembayaran yang digunakan oleh Pengguna Akhir untuk membeli makanan dan\/atau minuman Anda di restoran Anda melalui Aplikasi Grab, khususnya menggunakan fitur \u201cDine Out\u201d. \/ \u201c<\/span>MDR Service Fee<\/span>\u201d <\/span>or<\/span> \u201c<\/span>MDR Commission<\/span>\u201d means the service fee to be paid or payable to Grab based on the payment method used by the End User to purchase food and\/or beverages at Your restaurant through the Grab Application, particularly through the \u201cDine Out\u201d feature.<\/span><\/p>\n

Catatan: Penjual memahami dan setuju bahwa nilai Biaya Jasa Voucher, Biaya Jasa Diskon Dine Out, dan Biaya Jasa MDR sudah termasuk pajak. Dalam hal terjadi kenaikan tarif pajak yang diterapkan oleh otoritas pemerintah terkait, Grab berhak menyesuaikan Biaya Jasa Voucher, Biaya Jasa Diskon Dine Out, dan\/atau Biaya Jasa MDR. Penyesuaian tersebut akan dikomunikasikan kepada Penjual secara tertulis. <\/span>\/ Remarks:  The Merchant acknowledges and agrees that the Voucher Service Fee, Dine Out Discount Service Fee, and MDR Service Fee shall be inclusive of tax. In the event of an increase in the tax rate imposed by the relevant government authorities, Grab shall be entitled to adjust the Voucher Service Fee, Dine Out Discount Service Fee, and\/or MDR Service Fee accordingly. Such an adjustment will be communicated to the Merchant in writing.<\/span><\/p>\n

Penjual memahami bahwa dalam surat konfirmasi yang telah ditandatangani oleh Penjual bersama Grab dapat mencantumkan istilah: (i) Komisi Diskon Dine Out; (ii) Komisi Voucher; dan (iii) Komisi MDR. Sehubungan dengan hal tersebut, Penjual mengakui dan menyetujui bahwa ketiga istilah tersebut digantikan menjadi: (i) Biaya Jasa Diskon Dine Out; (ii) Biaya Jasa Voucher; dan (iii) Biaya Jasa MDR, yang masing-masing memiliki pengertian sebagaimana ditentukan dalam paragraf b di atas.  \/ <\/span>The Merchant understands that the confirmation letter signed by the Merchant and Grab may refer to the following terms: (i) Dine Out Discount Commission; (ii) Voucher Commission; and (iii) MDR Commission. In this regard, the Merchant acknowledges and agrees that these terms shall be replaced by: (i) Dine Out Discount Service Fee; (ii) Voucher Service Fee; and (iii) MDR Service Fee, each of which shall have the meaning ascribed to it in paragraph b above.<\/span><\/p>\n

5. Masa Berlaku<\/span>: Sesuai dengan Jangka Waktu yang ditentukan dalam Ketentuan Komersial. \/ <\/span>Validity Period<\/span>: In accordance with the Period stated in the Commercial Terms.<\/span><\/p>\n

6. Penjual mengakui bahwa Grab dapat menghentikan penerapan program Program Dine Out sewaktu-waktu berdasarkan diskresinya sendiri<\/span>. \/ The Merchant acknowledges that Grab can stop applying the Dine Out Programs at any given time based on its sole discretion.<\/span><\/p>\n

7. Penjual memahami dan setuju bahwa Grab dapat merubah ketentuan promo\/campaign (apabila diperlukan), untuk memberikan layanan yang lebih baik bagi Penjual. Segala perubahan terhadap promo\/campaign tersebut akan diinformasikan oleh Grab melalui kanal korespondensi resmi yang disepakati oleh Penjual melalui Ketentuan Komersial dan\/atau melalui aplikasi Penjual Grab (\u201c<\/span>Merchant App<\/span>\u201d). \/ <\/span>The Merchant acknowledges and agrees that Grab may modify the promo\/campaign terms, if necessary, to enhance services for the Merchant. Any such modifications to promo\/campaign terms will be communicated by Grab through the official correspondence channels as agreed upon by the Merchant in the Commercial Terms and\/or via the Grab Merchant application (\u201c<\/span>Merchant App<\/span>\u201d). <\/span><\/p>\n

8. Grab akan melakukan pembayaran kepada Penjual setelah memperhitungkan pemotongan Biaya Jasa Diskon Dine Out, Biaya Jasa Voucher, dan\/atau Biaya Jasa MDR termasuk Biaya Jasa yang disepakati dalam Ketentuan Komersial (baik melalui rekening bank Grab atau afiliasinya, rekening afiliasinya, pembayaran melalui kanal OVO, atau rekening atau kanal pembayaran lainnya yang ditunjuk oleh Grab, tidak lebih dari 3 (tiga) hari kerja sejak tanggal transaksi pembelian makanan dan\/atau minuman melalui fitur Dine Out di restoran Penjual. \/ <\/span>Grab will pay the Merchant after the deduction of the Dine Out Discount Service Fee, Voucher Service Fee and\/or MDR Service Fee including the Service Fee as agreed under the Commercial Terms (whether from Grab or its affiliates bank account, OVO payment channel, or other account or payment channel appointed by Grab, in no later than 3 (three) business days after the transaction of purchasing food and\/or beverages at the Merchant\u2019s restaurant using the Dine Out feature. <\/span><\/p>\n

9. Penjual dengan ini juga menyetujui untuk membayar dan menanggung biaya lainnya (apabila ada) seperti biaya admin\/transfer atau lainnya, sehubungan dengan transfer yang dilakukan oleh OVO atau rekening atau kanal pembayaran lainnya yang ditunjuk oleh Grab, yang ditujukan untuk melakukan pembayaran ke rekening pribadi Penjual. \/ <\/span>The Merchant hereby agrees to pay and bear any costs (if applicable) such as admin\/transfer fees or other fee, in connection with the transfers made by OVO or other accounts or payment channels appointed by Grab, which are intended to make payments to Merchant\u2019s personal account.<\/span><\/p>\n

10. Penjual memahami dan setuju bahwa selama berlakunya Program Dine Out, Penjual dilarang untuk: (i) menolak permohonan Pengguna Akhir untuk memperoleh potongan harga dalam rangka pelaksanaan Diskon Dine Out; (ii) menolak permohonan Pengguna Akhir untuk menukarkan Voucher Dine Out; (iii) mengajukan permohonan kepada Grab untuk berhenti lebih awal berpartisipasi dalam Program Dine Out sebelum tanggal akhir yang disetujui; dan\/atau (iv) berhenti berpartisipasi dalam Program Dine Out melalui Merchant App sebelum tanggal akhir yang disetujui (\u201c<\/span>Pelanggaran<\/span>\u201c). <\/span>The Merchant understands and agrees that during the Dine Out Program, the Merchant is prohibited from: (i) rejecting the End User\u2019s request to obtain a discount in the context of implementing the Dine Out Discount; (ii) rejecting the End User\u2019s request to redeem the Dine Out Voucher; (iii) submitting a request to Grab to stop participating in the Dine Out Program early before the agreed end date; and\/or (iv) stopping participating in the Dine Out Program via the Merchant App before the agreed end date (\u201c<\/span>Violation<\/span>\u201c).<\/span><\/p>\n

11. Dalam hal Pelanggaran yang disebutkan di atas terjadi, Grab berhak untuk menerapkan denda sebesar 120% (seratus dua puluh persen) dari jumlah kontribusi promosi yang diberikan oleh Grab yang dihitung sejak tanggal pertama kali kontribusi tersebut diberikan oleh Grab sampai dengan tanggal pertama kali Pelanggaran terjadi (\u201c<\/span>Denda<\/span>\u201c). \/<\/span> In the event that the Violation mentioned above occurs, Grab has the right to apply a fine of 120% (one hundred and twenty percent) of the amount of the promotional contribution given by Grab calculated from the date on which the contribution was first given by Grab to the date on which the Violation first occurred (\u201c<\/span>Penalty<\/span>\u201c). <\/span><\/p>\n

12. Penjual setuju bahwa Denda yang disebutkan di atas akan dipotong secara otomatis dari dompet Penjual melalui fitur penyesuaian pembayaran manual. Penjual juga setuju bahwa pemotongan otomatis tersebut akan tetap dilakukan sampai seluruh kewajiban Penjual untuk membayar Denda tuntas. Jika Penjual tidak memiliki dana yang cukup dalam dompetnya, Grab berhak untuk melakukan penagihan atas Denda kepada Penjual kapan saja sampai Denda tersebut sepenuhnya diterima oleh Grab. \/ <\/span>The Merchant agrees that the above-mentioned Penalty will be automatically deducted from the Merchant\u2019s wallet through the manual payment adjustment feature. The Merchant also agrees that such automatic deductions will continue until the Merchant\u2019s entire obligation to pay the Penalty is fully paid. If the Merchant does not have sufficient funds in its wallet, Grab reserves the right to collect the Penalty from the Merchant at any time until the Penalty is fully received by Grab.<\/span><\/p>\n

13. Selain dari penerapan Denda yang disebutkan di atas, Penjual juga sepakat bahwa Grab, berdasarkan kebijakannya sendiri, berhak untuk mengeluarkan Penjual dari Program Dine Out dengan seketika apabila Penjual menolak permohonan Pengguna Akhir untuk menukarkan Voucher Dine Out. \/ <\/span>In addition to the imposition of Penalty mentioned above, the Merchant also agrees that Grab, based on its own discretion, has the right to immediately remove the Merchant from the Dine Out Program if the Merchant refuses a request from the End User to redeem a Dine Out Voucher.<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<\/div>\n\t\t","protected":false},"parent":0,"menu_order":0,"template":"","acf":[],"_links":{"self":[{"href":"https:\/\/www.grab.com\/id\/wp-json\/wp\/v2\/policy\/146073"}],"collection":[{"href":"https:\/\/www.grab.com\/id\/wp-json\/wp\/v2\/policy"}],"about":[{"href":"https:\/\/www.grab.com\/id\/wp-json\/wp\/v2\/types\/policy"}],"version-history":[{"count":58,"href":"https:\/\/www.grab.com\/id\/wp-json\/wp\/v2\/policy\/146073\/revisions"}],"predecessor-version":[{"id":169871,"href":"https:\/\/www.grab.com\/id\/wp-json\/wp\/v2\/policy\/146073\/revisions\/169871"}],"wp:attachment":[{"href":"https:\/\/www.grab.com\/id\/wp-json\/wp\/v2\/media?parent=146073"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
